Overview

This platform empowers organizations and individuals to create, manage, and analyze strategic plans. By using the Service (StratifyPro platform and associated tools), you gain access to:

Licensed Content: Pre-built content provided by StratifyPro and other partners for building your strategy.
User Content: The ability to upload your own materials for comprehensive strategy development. You maintain full control and responsibility for this content.
Strategy Creation Tools: Utilize StratifyPro's built-in tools alongside Licensed and User Content to create your unique strategy.

Access StratifyPro through app.StratifyPro.com or any other platform we provide. Your use of the Service signifies your agreement to these Terms of Service and acknowledges our Privacy Policy.

Eligibility

The Service is available to those legally able to enter binding contracts.

If you sign up on behalf of an organization using an authorized company email address:

You represent that you hold the necessary authority to bind the organization to these Terms.
Your use of the Service binds the organization to these Terms.
References to "you" and "your" in these Terms apply to both you and your organization.

Using the Service

Eligibility & Age. To use the Service, you must be legally capable of forming a binding contract. If you are under the age of 13 (or the applicable age of majority in your jurisdiction), you may only use the Service under the direct supervision of a parent or legal guardian who agrees to these Terms.
License Grant. Subject to your compliance with these Terms, StratifyPro grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or business use.
Prohibited Activities. You may not: (a) resell, lease, or sublicense the Service; (b) modify, decompile, or reverse engineer the Service; (c) use the Service for benchmarking or competitive analysis; (d) use the Service to transmit viruses or harmful code; (e) bypass security measures; (f) engage in spamming or other unsolicited communications; (g) scrape or harvest data from the Service; (h) use the Service in a discriminatory or harmful manner; or (i) use the Service to incite or promote discrimination, hate, or violence.
Account Responsibility. You are responsible for all activities that occur under your account.

Security and Data Privacy

StratifyPro is committed to protecting the security and privacy of your information. We implement robust physical, technical, and administrative safeguards to protect your data from unauthorized access, disclosure, or misuse.
Our Privacy Policy outlines how we collect, use, disclose, and protect your personal information. By using the Service, you acknowledge and consent to our Privacy Policy. In the event of any inconsistency between these Terms and the Privacy Policy, the Privacy Policy will prevail.

User Content and Licensed Content

You retain ownership of any content you upload or create within the Service ("User Content"). By uploading or creating User Content, you grant StratifyPro a non-exclusive, royalty-free, worldwide license to use, reproduce, distribute, and display such content solely for the purpose of operating and providing the Service.
StratifyPro provides certain content (the "Licensed Content"). Your use of Licensed Content is limited to the Service and is subject to these Terms.
You may combine User Content and Licensed Content to create your strategic plans ("Strategies"). You may share or export your Strategies within the Service or through other platforms. StratifyPro bears no responsibility for the content or sharing of Strategies.

Workspace Administration

A Workspace is a collaborative environment created and managed by an Administrator. Administrators can designate additional users as Administrators, granting them equivalent control. Workspace members can be added, modified, or removed at the Administrator's discretion, with their access permissions to User Content and Strategy managed accordingly.
By adding users to a Workspace, you represent that you have obtained necessary authorization. If managing Workspaces on behalf of an organization, you affirm your authority to do so.
A Group is a subset of Workspace members created and managed by an Administrator or Group Owner. Group membership, access permissions to strategic plans, and Group ownership can be modified by Administrators and Group Owners.
StratifyPro bears no responsibility for actions taken within Workspaces or Groups. Users are responsible for safeguarding sensitive information shared within these collaborative environments.

Billing & Pricing Terms

StratifyPro offers both free trials and paid subscription plans. Pricing is subject to change and may vary based on location and chosen plan. The Administrator is responsible for all payments.
Subscription Plans: Paid plans are purchased on an annual basis with automatic renewal unless canceled. Annual subscriptions are paid when purchased. Typical contract terms are three years. Cancellations do not result in refunds.
Additional Users and Features: StratifyPro does not impose additional fees for increased user numbers or platform features.
Taxes: All fees exclude applicable taxes, which will be calculated based on your billing information.
Cancellation: Subscriptions can be canceled at any time without incurring a refund. Outstanding balances are immediately due upon cancellation.
Free Trials: StratifyPro may offer free trials at its discretion.
Price Adjustments: StratifyPro reserves the right to modify pricing. Changes will take effect at the next renewal or after a 30-day notice. Pricing is determined by revenue and the level of advisory and strategy consultant services required. StratifyPro conducts regular assessments to adjust pricing accordingly.
Order Forms: Any terms outlined in an Order Form supersede conflicting provisions in this Agreement.

StratifyPro’s Intellectual Property

All intellectual property rights in and to the Service, including but not limited to, trademarks, copyrights, patents, trade secrets, and other proprietary rights, are and shall remain the exclusive property of StratifyPro and its licensors. You hereby assign to StratifyPro all right, title, and interest in and to any suggestions, ideas, enhancement requests, or other feedback provided by you relating to the Service. StratifyPro owns all intellectual property developed in connection with the Service and its products.

Warranty Disclaimer.

The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, StratifyPro disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. StratifyPro makes no warranty that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected. StratifyPro assumes no responsibility for the accuracy, completeness, or reliability of any data or information obtained through the Service. StratifyPro is not responsible for any loss or damage arising from the transmission of data over networks or systems beyond its control.

Third Party Services.

You may integrate the Service with third-party platforms or applications. Your use of such third-party services is governed solely by their respective terms of service. StratifyPro disclaims any responsibility or liability for your use of or reliance on third-party services.

Indemnification

You agree to indemnify and hold harmless StratifyPro, its affiliates, officers, directors, agents, licensors, and employees from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your violation of these Terms or your use of the Service, including but not limited to your User Content.

Limitation of Liability

Neither party shall be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, losses, or expenses arising out of or in connection with this Agreement. This includes, without limitation, damages for loss of profits, business interruption, or loss of data.
StratifyPro’s total aggregate liability under this Agreement shall be limited to the greater of (i) $100 or (ii) the amount paid by you to StratifyPro for the Service during the twelve-month period preceding the event giving rise to the claim.
The foregoing limitations shall not apply to liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
StratifyPro assumes no responsibility for the content of User Content.
These limitations do not affect any rights you may have as a consumer that cannot be lawfully waived or limited.

Term and Termination

Term: This Agreement commences upon your first use of the Service and continues until terminated. For paid subscribers, the Agreement ends upon subscription expiration or termination. For free trial users, the Agreement ends upon account deletion or termination.
Termination for Cause: StratifyPro may terminate this Agreement if you violate its terms, including but not limited to our Acceptable Use Policy, restrictions on Service use, or anti-discrimination guidelines. Upon termination, StratifyPro may delete your User Content and Strategy, suspend or terminate your account, or permanently ban you from using the Service.
Termination by You: You may terminate your paid subscription by following the cancellation process outlined in our billing terms. Upon termination, auto-renewal will be canceled. You will still be required to pay any unpaid fees as agreed in contract.
Consequences of Termination: Upon termination, you lose access to your Strategy, User Content, and other uploaded data, which may be deleted unless legally prohibited. User Content shared within a Strategy remains accessible to other collaborators. You can download or export your User Content and Strategy before termination, unless prohibited due to a violation.
Surviving Provisions: Certain provisions of this Agreement, including those related to intellectual property, liability, indemnification, and miscellaneous matters, shall survive the termination of this Agreement.

Miscellaneous

Compliance with Law
1. You agree to comply with all applicable local, state, national, and international laws, treaties, and regulations in connection with your use of the Service.
2. StratifyPro agrees to abide by all applicable local, state, national, and international laws, treaties, and regulations in connection with its provision of the Service.
Governing Law and Jurisdiction
1. These Terms will be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws provisions.
2. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Tarrant County, Texas.
3. Both parties consent to the exclusive jurisdiction of these courts.
4. The United Nations Convention on Contracts for the International Sale of Goods is expressly excluded from application to these Terms.
Export Restrictions
1. The Service is subject to trade sanctions and laws and regulations governing the import, export, and use of the Service.
2. These laws or regulations may prohibit StratifyPro from providing you with the Service or require us to discontinue making it available without notice.
3. By using the Service, you agree to comply with all trade sanctions, export and import laws, and regulations.
4. You warrant that (i) you are not prohibited from accessing the Service, and (ii) you will not make the Service available to anyone prohibited from accessing it under the laws or regulations of any jurisdiction.
Dispute Resolution
1. If a dispute arises out of these Terms, you should first contact StratifyPro to attempt resolution.
2. If the dispute remains unresolved, you and StratifyPro agree to resolve any claim, dispute, or controversy (excluding any StratifyPro claims for injunctive or other equitable relief) arising out of or in connection with these Terms through binding arbitration.
3. This arbitration will be conducted by the American Arbitration Association (AAA) under the Commercial Arbitration Rules and Supplementary Procedures for Consumer-Related Disputes then in effect.
4. The arbitration will be conducted in Tarrant County, Texas, unless you and StratifyPro agree otherwise.
5. Each party will be responsible for paying its own AAA filing, administrative, and arbitrator fees.
6. The arbitrator's award shall include costs of arbitration, reasonable attorneys' fees and expert and witness costs.
7. Judgment on the award may be entered in any court of competent jurisdiction.
8. This provision does not prevent either party from seeking injunctive or other equitable relief from the courts to prevent infringement, misappropriation, or violation of intellectual property rights or other proprietary rights.
9. All claims must be brought in the parties' individual capacity, not as a plaintiff or class member in a class action proceeding.
10. The arbitrator may not consolidate more than one person's claims unless both parties agree otherwise.
11. By entering into this agreement, you and StratifyPro waive the right to a jury trial or participation in a class action.

Assignment
1. You may not assign these Terms or your rights under them without StratifyPro's consent, except to a successor in a merger, acquisition, or change of control.
2. StratifyPro may assign any of its rights and obligations under these Terms, in whole or in part, at any time with or without notice.
Headings and Explanations
1. Headings used in these Terms are for convenience only and do not affect the meaning or interpretation of the Terms.
Severability
1. If a provision of these Terms is found to be invalid or unenforceable, the remaining provisions will still be enforceable.
Waiver
1. StratifyPro's waiver of a provision of these Terms will not be construed as a future waiver of that provision or any other provision.
Notices
1. All required notices to you will be sent to the email address associated with your account or through other legally permissible means.
Digital Millennium Copyright Act (DMCA)
1. StratifyPro respects the intellectual property rights of artists and content owners.
2. We will respond to notices of alleged copyright infringement that comply with the DMCA (Digital Millennium Copyright Act).
Changes to These Terms
1. StratifyPro may modify these Terms (and any policies).
